These Terms of Service (“Terms”) govern your access to and use of athryl.com, app.athryl.com, and Athryl's related products and services (collectively, the “Services”).
If you use the Services on behalf of a business, you represent you have authority to bind that business. In that case, “you” and “your” refer to that business.
Acceptance of Terms
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you purchase a paid plan via an order form, invoice, checkout link, or other written agreement with Athryl (an “Order”), those commercial terms apply in addition to these Terms. If there is a conflict, the Order governs the commercial terms for that purchase.

Eligibility
You must be at least 18 years old and capable of forming a legally binding contract.
The Services
Athryl provides a private software platform for online fitness and nutrition businesses to manage backend operations and reporting, which may include:
- check-in intake/organisation and workflow tooling
- operational dashboards and reporting
- payment-status workflows and notifications based on billing events (where enabled)
Athryl provides software tools only. You remain responsible for your coaching services, client outcomes, billing decisions, and communications with your end clients.
Athryl does not provide fitness, medical, nutrition, legal, or financial advice.
Accounts and Security
You are responsible for:
- keeping account information accurate and up to date
- maintaining the confidentiality of login credentials
- all activity that occurs under your account
You must notify us promptly if you suspect unauthorised access, credential compromise, or a security incident.
We may require reasonable verification before restoring access or making account changes.
Fees, Billing, and Refunds
6.1 Commercial model. Paid Services are typically provided on a recurring subscription fees basis unless otherwise agreed in writing.
6.2 Payment processor. Payments are processed via Stripe. Athryl does not store full card details.
6.3 Billing and renewal. Fees are billed in advance on the schedule shown at checkout or on your Order.
6.4 Minimum term. Some plans may include a minimum commitment period (e.g., 3 months). If a minimum term applies, it will be stated at checkout or in the Order and is binding.
6.5 Refunds. Fees are non-refundable except where required by law or explicitly stated in writing.
6.6 Non-payment. If payment fails or becomes overdue, we may suspend access to the Services until payment is resolved. Continued non-payment may result in termination.
6.7 Taxes. Prices exclude VAT or other applicable taxes unless stated otherwise. Where required, taxes will be added.
Customer Data and Data Protection
7.1 Customer Data. You retain ownership of any data you upload to the Services or otherwise make available (“Customer Data”).
7.2 Licence to process. You grant Athryl a limited licence to host, process, transmit, and display Customer Data solely to provide, secure, maintain, and support the Services.
7.3 Your responsibilities. You represent and warrant that:
- you have a lawful basis and any required notices/consents to provide Customer Data to Athryl; and
- your use of the Services complies with applicable laws, including data protection laws.
7.4 Controller/processor. Where Athryl processes personal data on your behalf, you are the controller and Athryl is the processor. If you enter into a separate MSA and/or DPA with Athryl, that DPA governs the processing of personal data and will apply in addition to these Terms.
7.5 Deletion/export. Upon termination of paid Services, Customer Data may be exported on request and deleted/anonymised within 30 days, unless retention is required by law or reasonably necessary for legitimate purposes such as fraud prevention, dispute resolution, or legal compliance.
Acceptable Use and Prohibited Conduct
You may not:
- reverse engineer, decompile, or attempt to extract source code from the Services
- copy, modify, or create derivative works of the Services except as permitted by law
- access the Services to build or assist a competing product
- probe, scan, or test vulnerabilities, or bypass security measures
- upload malware, harmful code, or unlawful content or content that infringes rights
- use the Services to send unlawful, deceptive, or abusive communications
- interfere with or disrupt the integrity or performance of the Services
We may investigate suspected violations and take action, including suspension or termination.
Third-Party Services
The Services may integrate with or rely on third-party services and infrastructure, including Stripe, Supabase, Vercel, Resend, and Calendly.
Athryl is not responsible for third-party outages, API changes, pricing changes, limitations, or third-party terms. Your use of third-party services is governed by their own terms.
Intellectual Property
Athryl and its licensors own all rights in the Services, including software, workflows, templates, prompts, interfaces, branding, and documentation.
No rights are granted except as expressly stated in these Terms. All rights not granted are reserved.
Confidentiality (Business Use)
If you receive non-public information about Athryl (including product, technical, or commercial information), you will keep it confidential and use it only to operate the Services.
This obligation does not apply to information that is public without breach, independently developed, or lawfully received from a third party.
Service Availability and Changes
12.1 Availability. The Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability.
12.2 Changes. We may modify, add, or remove features. If a change materially reduces core functionality of a paid plan, we will use reasonable efforts to provide notice.
Disclaimers
To the maximum extent permitted by law:
- Athryl does not guarantee any financial results, retention outcomes, compliance uplift, or payment recovery amounts.
- Outputs and workflows depend on your configuration, data quality, and usage.
- You are responsible for any messages, approvals, decisions, or actions taken using the Services.
Limitation of Liability
To the maximum extent permitted by law:
14.1 No indirect damages. Athryl will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data.
14.2 Liability cap. Athryl's total liability arising out of or relating to the Services will not exceed the fees paid by you to Athryl in the 12 months immediately preceding the event giving rise to the claim.
14.3 Non-excludable liability. Nothing excludes or limits liability that cannot be excluded under law (e.g., fraud, death or personal injury caused by negligence).
Indemnity
You will indemnify and hold harmless Athryl from claims, damages, liabilities, and expenses arising from:
- your use of the Services in violation of these Terms or applicable law;
- Customer Data you provide; or
- your services provided to your end clients.
Suspension and Termination
16.1 Termination by you. You may stop using the Services at any time. If you have a paid plan, cancellation takes effect according to the billing terms at checkout/Order and any minimum term.
16.2 Suspension/termination by Athryl. We may suspend or terminate access if:
- fees are overdue;
- you breach these Terms;
- your use poses security, legal, or operational risk; or
- required third-party access is removed or becomes unavailable.
16.3 Effect. Upon termination, access may be revoked. Sections that by their nature should survive termination (including IP, confidentiality, disclaimers, limitation of liability, and indemnity) survive.
Governing Law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on athryl.com and/or within the Services with the “Last updated” date revised. Continued use after changes means you accept the updated Terms.
Privacy
Your use of the Services is subject to the Athryl Privacy Policy.
